Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Conxera platform (“Service”), which is operated by Inovidia Limited (“Conxera”, “we”, “us”, “our”).By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
Service Description
Conxera is a business-to-business software platform designed to support tender workflows, including document upload and parsing, AI-assisted drafting, policy libraries, structured responses, and submission pack creation. The Service is intended for professional use by organisations responding to procurement opportunities.
Eligibility and Accounts
You must be at least 18 years old and use the Service for business purposes. You agree to: • provide accurate and complete account information • maintain confidentiality of credentials • promptly notify us of unauthorised access Organisation administrators are responsible for all activity under their organisation account.
Acceptable Use
You agree not to: • use the Service unlawfully • upload malicious, harmful, or unlawful content • attempt unauthorised access to systems • reverse engineer or bypass safeguards • resell or redistribute the Service • upload infringing content • generate misleading or deceptive tender responses
Your Content
You retain ownership of all content uploaded to the Service (“Your Content”). You grant Conxera a limited licence to host, store, process, analyse, and generate outputs from Your Content solely to provide the Service. You confirm you have lawful rights to upload all content, including personal data where applicable.
AI-Generated Content
The Service uses artificial intelligence to generate draft outputs. You are solely responsible for reviewing, validating, and approving all outputs before submission. AI-generated content is provided for drafting support only and does not constitute legal, financial, or professional advice. We do not guarantee the accuracy, completeness, or suitability of outputs for any procurement submission.
Subscriptions and Billing
Subscription fees are billed in advance and renew automatically unless cancelled. Payments are processed by Stripe. Conxera does not store card details. You agree to: • pay applicable taxes • maintain valid payment details Fees are non-refundable except where required by law. We may change pricing with at least 30 days’ notice.
Usage Limits
Features and usage limits vary by subscription tier. We may enforce limits or suspend usage where exceeded.
Intellectual Property
All software, branding, documentation, and platform materials remain the property of Inovidia Limited. Your subscription grants a limited, non-exclusive licence for internal business use only.
Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR. Where we process personal data on your behalf, we act as a data processor.
Availability
We aim to provide reliable access but do not guarantee uninterrupted availability. We may perform maintenance with reasonable notice.
Limitation of Liability
To the fullest extent permitted by law: Our total liability is limited to fees paid in the previous 12 months. We are not liable for indirect or consequential loss, including lost revenue, failed bids, or reputational harm.
Indemnity
You agree to indemnify Conxera against claims arising from: • your use of the Service • breach of these Terms • unlawful or infringing content
Termination
Either party may terminate at any time. We may suspend or terminate accounts for breach or non-payment. Following termination, access ends and data may be deleted in line with our Privacy Policy.
Changes
We may update these Terms periodically. Continued use confirms acceptance of updated Terms.
Governing Law
These Terms are governed by the laws of England and Wales.
